Godrej Properties has received approval from the National Company Law Tribunal (NCLT), Mumbai Bench, for the amalgamation of Embellish Houses Private Limited with the company. The order was pronounced on July 8, 2026, marking another step in the company’s strategy to simplify its corporate structure and improve operational efficiency.

According to the approved scheme, the appointed date for the amalgamation is November 1, 2025. The merger will become effective after the certified copy of the NCLT order is filed with the Registrar of Companies, in accordance with the Companies Act, 2013.

The amalgamation is expected to consolidate the group’s real estate business under a more streamlined structure. By reducing the number of legal entities, Godrej Properties aims to improve administrative efficiency, optimize operational costs, and enable better utilization of technical and managerial resources across the organization.

Corporate restructurings such as this are common among large real estate developers as they help simplify governance, improve compliance, and strengthen long-term operational capabilities. While the amalgamation does not directly impact ongoing residential projects or customers, it supports the company’s broader strategy of enhancing organizational efficiency and sustainable growth.

Godrej Properties continues to expand its residential portfolio across key markets, including Mumbai Metropolitan Region, Delhi-NCR, Bengaluru, Pune, Hyderabad, and other major cities. The latest NCLT approval further reinforces the company’s focus on building a leaner and more efficient corporate structure to support future expansion.
